Terms and Conditions
- Adjustment of Services: If the client wishes to increase or decrease the service level, a 15-day notice is required. Bespoke Consultants will provide a new proposal for the adjusted service. The contract agreement will auto-renew from the set date of the service adjustment.
- Amendments: Any amendments to this agreement must be made in writing and signed by both parties.
- Compliance with State Laws: Bespoke Consultants is a registered company in the state of Florida and complies with all relevant state laws and regulations. Both parties agree to adhere to all applicable local, state, and federal laws.
- Confidentiality: Bespoke Consultants is fully committed to maintaining the confidentiality of all client information. If required, Bespoke Consultants will sign a non-disclosure agreement (NDA) to ensure the client’s information is protected.
- Dedicated Employee Assignment: Dedicated employees assigned to clients will work strictly within the agreed scope of work. Clients are to communicate with assigned representatives only on work-related matters within the scope of work. Personal discussions, salary inquiries, or topics outside the scope of work are prohibited. Any issues should be addressed to the main point of contact who signed the client in the contract/agreement.
- Dispute Resolution: Any disputes arising out of or in connection with this agreement shall be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation, it shall be submitted to mediation before resorting to litigation.
- Entire Agreement: This agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written, concerning the subject matter of this agreement.
- Evaluation and Review: An evaluation of services will be conducted every three months to ensure the client’s needs are being met and to make any necessary adjustments.
- Force Majeure: Neither party shall be liable for any failure to perform its obligations under this agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, war, riot, terrorism, or government action.
- Governing Law: This agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
- Indemnification: The client agrees to indemnify and hold Bespoke Consultants harmless from any claims, damages, or expenses arising from the client’s use of the services provided.
- Intellectual Property: All intellectual property created by Bespoke Consultants during the course of providing the services will remain the property of Bespoke Consultants unless otherwise agreed in writing. The client is granted a non-exclusive, non-transferable license to use such intellectual property solely for internal business purposes.
- Limitation of Liability: Bespoke Consultants’ total liability to the client for any claim arising out of or in connection with this agreement shall be limited to the amount paid by the client for the services in the 12 months preceding the claim.
- Non-Solicitation: The client agrees not to solicit or hire any employees or contractors of Bespoke Consultants during the term of this agreement and for a period of one year thereafter.
- Onboarding Process: Depending on the approved hired services, the first month will be dedicated to onboarding, requiring the client to commit to a set date once a week within the first month for proper setup. Preferably on Mondays or Tuesdays.
- Payment Terms: Payments will be processed automatically through a provided link, including any associated processing fees. Monthly payments are required.
- Quarterly Evaluation: Service evaluations will be conducted every three months (quarterly) to assess performance and make any necessary adjustments.
- Renewal and Termination: The agreement is normally based on a one-year term unless otherwise stated in the approved and signed scope of work and will renew automatically unless terminated by either party with a 30-day notice. Early termination by the client will incur a two-month service cost penalty. Requests for termination or ending the account must be submitted via email or letter and may be considered for fee waivers upon review by upper management.
- Severability: If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
- Service Commitment: The client must commit to a set date once a week during the first month for the onboarding process to ensure proper setup.
- Service Fees and Penalties: The base service rate starts at $1,500 per month. Any changes or cancellations require a 30-day notice, and early termination will result in a penalty of two months’ service fees.
- Service Offerings: The provided services include administrative assistance, bookkeeping, travel bookings, and marketing oversight. Additional marketing services may incur extra charges.
- Subcontracting: Bespoke Consultants reserves the right to subcontract any part of the services provided, ensuring the same level of quality and confidentiality.
- Warranty of Services: Bespoke Consultants warrants that it will provide the services in a professional and workmanlike manner in accordance with industry standards.
- Data Protection and Privacy: Bespoke Consultants will comply with all applicable data protection and privacy laws. The client agrees to provide necessary consents and authorizations required under such laws for the processing of personal data.
- Electronic Signatures: This agreement and related documents may be signed electronically. The parties agree that electronic signatures are as legally binding as handwritten signatures.
- Notices: All notices required or permitted under this agreement shall be in writing and shall be deemed delivered when sent by certified mail, return receipt requested, by a nationally recognized overnight delivery service, or by email with confirmed receipt, to the contact information provided in the onboarding form.
